1. Acceptance of Terms
By accessing or using the Beacon Health platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms apply to all users, including healthcare organizations, administrators, and authorized personnel.
2. Description of Services
Beacon Health provides an AI-powered operational platform designed for primary care practices engaged in Value-Based Care (VBC). Our Services include workflow automation, data panel management, patient cohort analytics, and AI-assisted administrative tools. The Services are intended to support — not replace — clinical decision-making by qualified healthcare professionals.
3. Eligibility and Accounts
To use our Services, you must be at least 18 years old and authorized by a subscribing healthcare organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Beacon Health immediately of any unauthorized use.
4. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in violation of any applicable law or regulation, including HIPAA
- Attempt to gain unauthorized access to any part of the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse-engineer, decompile, or disassemble any aspect of the Services
- Use the Services to transmit harmful, fraudulent, or deceptive content
5. Protected Health Information
Beacon Health may process Protected Health Information (PHI) as a Business Associate under HIPAA. The handling of PHI is governed by the Business Associate Agreement (BAA) executed between Beacon Health and your organization. In the event of a conflict between these Terms and the BAA regarding PHI, the BAA shall prevail.
6. Intellectual Property
All content, features, and functionality of the Services — including software, text, graphics, logos, and designs — are owned by Beacon Health and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of data you submit through the Services.
7. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. Beacon Health does not warrant that the Services will be uninterrupted, error-free, or secure. The Services do not constitute medical advice, diagnosis, or treatment. All clinical decisions remain the responsibility of licensed healthcare providers.
8. Limitation of Liability
To the maximum extent permitted by law, Beacon Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total liability shall not exceed the amount paid by your organization in the twelve months preceding the claim.
9. Termination
Beacon Health may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
